Job Description

We are seeking a high-calibre Trainee Associate to join our legal team. This role offers a unique opportunity to understudy seasoned practitioners while gaining hands-on experience in high-stakes energy, finance, and shipping sectors. The successful candidate will navigate a hybrid desk, supporting both our Transactional/Project Development team and our Commercial Litigation department.

Key Responsibilities

    • The Trainee-Associate is to understudy other lawyers and participate in regulatory compliance.

    • Draft, review and negotiate broad range commercial agreements related to the energy, finance & shipping.

    • Advise business stakeholders on project bids, risk, due diligence and other related matters.

    • Advise stakeholders on possible legal risk and provide mitigation strategies.

    • Ensure compliance to client’s policies and regulatory requirements.

    • Assist to draft policies, guidelines, legal templates and other documents to ensure best practices.

    • Attend to all aspects and issues related to project development and financing.

    • Structure, draft, review and effectively negotiate membership interest purchase and sale agreements, power purchase agreements, engineering, procurement and construction contracts.

    • Perform diligence and provide diligence guidance to development teams and external counsel regarding project acquisition and greenfield development.

    • Work with the commercial litigation (dispute)team.

    • Join in representing clients in court, participate in negotiating, drafting or reviewing contract, legal commentary and case reviews, and other customary roles.

    • Conduct legal research and gathering evidence.

    • Explaining the law and giving legal advice.

    • Draft and review contracts, deeds and other legal documents.

    • Assist senior associates and partners in drafting, reviewing, and negotiating corporate agreements and documents.

    • Conduct legal research on various corporate law topics and provide summaries and analyses.

    • Support the team in preparing for client meetings, negotiations, and corporate transactions.

    • Participate in due diligence processes for mergers, acquisitions, and other corporate transactions.

    • Help in preparing legal opinions, reports, and correspondence.

    • Attend training sessions and workshops to develop legal knowledge and skills.

    • Assist in maintaining and organizing case files and legal documents.

    • Stay current with developments in corporate law and industry practices.

Requirements

  • Minimum academic qualification of a bachelor’s degree 
  • The ideal candidate should have a good, well-rounded knowledge of the law.

Qualifications

  • A first-class law degree (LL.M. will be an advantage)
